A note before you read. Sparky is a small team building something we genuinely care about. These Terms cover joining our waitlist, participating in the beta program, and receiving marketing or research communications from us. We've written them to be honest about what we can and cannot promise, and to be readable rather than to protect ourselves from you. If anything is unclear, just email us.

1. Who These Terms Apply To

These Terms are between Unimatch LLC, a limited liability company duly organized and existing under the laws of the State of Delaware, with its registered office at 11 South DuPont Highway, Suite 102, in the City of Dover, Delaware 19901, United States of America (the company behind Sparky), and you — the adult who is joining our waitlist, enrolling your child in our beta program, or receiving marketing communications from us.

By signing up, you confirm that you are at least 18 years old, that if you list children you are their parent or legal guardian, and that you've read what's here.

Children cannot be a party to this agreement under US law. Your child gets to use Sparky when enrolled in the beta. You hold the agreement.

2. What These Terms Cover

These Terms apply to three types of participation in Sparky. You may fit one or more of these categories at the same time.

Waitlist

Joining our email waitlist is free and non-binding. You're telling us you'd like to know about Sparky. Section 3 covers this.

Web Beta Program

Parents and guardians enrolling their children to actively use Sparky through our web interface. This involves child data, AI interactions, and additional commitments from both sides. Sections 4 through 8 cover this.

Marketing and Research

Anyone who has opted in to receive product updates, surveys, or early access invitations from Sparky. Section 3.5 covers this.

3. The Waitlist

3.1 What Joining Means

  • Joining is free. We never take payment to be on the waitlist.
  • It is not a purchase, not a pre-order, not a binding offer from either side.
  • It is a request from you to be notified, and a commitment from us to do our best to notify you in order.

3.2 No Guarantee of Beta Access or Delivery

A position on the waitlist does not guarantee that you will be invited to the beta or that a future product will be available to you. Sparky is in development. We may change the product, delay the launch, ship in limited regions first, or — if we conclude the product is not right — not ship at all.

3.3 Leaving the Waitlist

You can leave the waitlist at any time. Use the unsubscribe link in any email we send you, or write one line to privacy@sparky.ai. We will delete your record within 30 days and confirm by email.

3.4 If We Open Paid Pre-Orders

If we ever open paid pre-orders or sales, that will happen on a separate, clearly priced checkout with its own terms. We will not silently turn a waitlist signup into a purchase.

3.5 Marketing and Research Communications

If you opt in, we may send you product updates, launch announcements, and invitations to participate in surveys or research. All marketing is opt-in and you can unsubscribe at any time.

4. The Beta Program

4.1 Nature of the Service

Sparky is an AI-powered voice companion for children ages 6 to 10. The beta program lets families test the service through a web interface and gives us the feedback we need before commercial launch.

4.2 Beta Status — What That Actually Means

We want to be straight with you about what beta means for a product like Sparky:

  • Sparky is not a finished product. It is actively being built and improved.
  • Things may break. Responses may be imperfect. Features may change or disappear.
  • We may take the service down temporarily without notice — we'll try to warn you, but can't always.
  • AI will occasionally get things wrong. That's the nature of the technology right now.

This is why we're testing before launching publicly — your feedback helps us get it right.

AI Disclosure. Sparky is powered by artificial intelligence. It is not a human. Responses are generated by an AI model and may not always be accurate, complete, or appropriate for every situation. Sparky is not a substitute for parental guidance, medical advice, psychological counseling, or educational instruction.

4.3 Age Restriction

The Sparky service is designed for children ages 6 to 10. You agree not to permit children under 6 or over 13 without additional parental setup to use the service under these Terms.

4.4 Future Product Interest and Waitlist

As part of the Sparky beta program, parents and guardians may be offered the opportunity to request continued access to future versions of the Sparky web experience, join a waitlist for a future hardware version, or receive product updates and early access opportunities.

We may also ask parents or guardians to provide optional feedback regarding interest in future products, preferred features, pricing ranges, and purchasing preferences. This information is collected solely for product research and beta planning.

Submitting interest in a future version of Sparky does not constitute a purchase, preorder, reservation, deposit, or guarantee of product availability. Any future commercial product will be governed by separate terms and conditions.

5. Parental Responsibilities

By enrolling your child in the Sparky Beta Program, you agree to:

  • Supervise your child's use of the Sparky service
  • Ensure that your child understands they are interacting with an AI, not a human
  • Review session summaries and safety alerts provided through the beta interface
  • Promptly contact us at privacy@sparky.ai if your child experiences any distressing interaction
  • Not permit your child to share sensitive personal information (full name, school, address, passwords) with Sparky

6. Data Privacy and COPPA

Your child's privacy is governed by our Sparky Privacy Policy, which is incorporated into these Terms by reference. In summary:

  • We collect only the minimum data necessary to operate the service
  • We do not sell, rent, or share your child's data with advertisers
  • You may request review, correction, or deletion of your child's data at any time
  • Audio recordings are not retained; text transcripts are deleted after 30 days

7. Intellectual Property

7.1 Company Intellectual Property

All content, characters, software, designs, and materials comprising the Sparky service are the exclusive property of Unimatch LLC or its licensors. Nothing in these Terms grants you or your child any ownership interest in Sparky's intellectual property.

7.2 Feedback

If you or your child provide feedback, suggestions, or ideas regarding the Sparky service ("Feedback"), you hereby assign to Unimatch LLC all rights, title, and interest in such Feedback. Unimatch LLC may use Feedback for any purpose without restriction or compensation.

8. Prohibited Uses

You agree not to use the Sparky service to:

  • Attempt to extract, reverse engineer, or replicate Sparky's AI models, prompts, or algorithms
  • Intentionally attempt to cause Sparky to generate harmful, inappropriate, or illegal content
  • Share Sparky access credentials with unauthorized parties
  • Use the service for any commercial purpose without prior written consent from Unimatch LLC
  • Permit children outside the 6 to 10 age range to use the service without contacting us first

9. What We Can and Cannot Promise

We want to be honest rather than hide behind legal language. Here is what we can genuinely commit to:

  • We will protect your data with the measures described in our Privacy Policy
  • We will respond to questions and safety concerns promptly
  • We will tell you when something significant changes
  • We will never turn a waitlist signup into a charge

Here is what we cannot honestly promise:

  • That a waitlist position will result in beta access or product delivery
  • That Sparky will be available at all times without interruption during beta
  • That every AI response will be perfectly accurate or always appropriate
  • That the product will work identically on every device or browser

We are not hiding behind fine print. This is the honest picture.

10. Limitation of Liability

If something goes wrong — a technical error, an unexpected AI response, a service interruption, a problem with the waitlist — we will do our best to fix it quickly and communicate clearly.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIMATCH LLC WILL NOT BE RESPONSIBLE FOR: any indirect, incidental, consequential, or speculative damages; loss of business opportunity, anticipated savings, goodwill, or data; any decisions made by a parent, guardian, or child in reliance on AI-generated responses; or any expectation that participation in the beta program guarantees future access, product availability, discounts, or commercial release.

Participation in the beta program is voluntary. Except where required by applicable law, participation does not create any right to compensation, reimbursement, or financial recovery arising from interruptions, changes, delays, suspension, or cancellation.

This limitation does not apply to: our own gross negligence or willful misconduct; any breach of your or your child's data privacy; or any obligation we have under COPPA or applicable consumer protection law. Those remain fully in place.

11. Term and Termination

11.1 Duration

These Terms are effective from the date you join the waitlist or enroll in the beta program, whichever comes first. They continue until: (a) you withdraw; (b) we terminate your participation; or (c) we replace these Terms with a final commercial Terms of Service when Sparky launches.

11.2 Termination by You

You may withdraw at any time by emailing privacy@sparky.ai. We will delete your record and confirm by email.

11.3 Termination by Unimatch LLC

We may terminate your participation at any time, for any reason, with or without notice. We will notify you by email in all but urgent safety-related circumstances.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware. If a disagreement arises:

  • Step 1: Email us. Most issues can be resolved quickly at legal@sparky.ai.
  • Step 2: If that doesn't work, we're open to mediation — an informal process that's faster and less costly than going to court.
  • Step 3: Either party may pursue formal legal remedies if mediation fails.

We are not including a mandatory arbitration clause. You retain your right to pursue legal action if needed.

13. Miscellaneous

  • These Terms constitute the entire agreement between you and Unimatch LLC regarding the Sparky waitlist and beta program
  • If any provision is found unenforceable, the remaining provisions remain in full force
  • Our failure to enforce any right under these Terms does not constitute a waiver of that right
  • We may update these Terms from time to time as Sparky evolves. Continued participation after updated versions are published constitutes acceptance of the updated Terms.
